REGULATIONS OF PLACING ORDERS

§1 GENERAL PROVISIONS

1. These regulations (the “Regulations”) set out the rules for placing orders via the website https://commerce.boschsecurity.com/pl/pl/ (the “Website”) for Bosch products. These Regulations also constitute the regulations of providing services electronically.

2. These Regulations constitute an integral part of the Trade Agreement concluded between the customer and Robert Bosch sp. z o.o. with its registered office in Warsaw, ul. Jutrzenki 105, entered into the Register of Entrepreneurs of the National Court Register kept by the District Court for the Capital City of Warsaw in Warsaw, 14th Commercial Division of the National Court Register under KRS number 0000051814, with share capital in the amount of PLN 197,443,600, NIP 526-10-27-992, REGON 011124535, BDO registration number 000007792; email: zamowienia@pl.bosch.com (“Bosch”), to the extent that the customer intends to place orders for Bosch products via the Website. For the avoidance of doubt, the Website is not the only channel of placing orders as part of the commercial relationship between the Customer and Bosch. Other methods of placing orders are indicated in separate Trade Agreements concluded between the respective customer and Bosch (“Trade Agreement”). These Regulations do not apply to channels of placing orders other than via the Website.

3. Only business entities that concluded a separate Trade Agreement with Bosch and are listed in the Bosch system as customers (“Customer”) are authorised to place orders via the Website. Bosch does not provide the possibility of placing orders via the Website to persons or entities other than Customers, in particular, the order placing service is not available to consumers.

4. The Customer represents that it places an order as an entrepreneur as part of its business activity and that it is related to the Customer’s professional activity.

5. Any general terms and conditions or templates of the Customer’s agreements that are in contradiction with or deviate from these Regulations are not applicable, unless Bosch expressly and in writing agreed to their application.

6. In order to place an order via the Website, the Customer is required to accept the provisions of these Regulations.

§2 PLACING AN ORDER

1. An order may only be placed by logged in Customers who have an active account on the Website and a concluded Trade Agreement.

2. An agreement for maintaining an account on the Website is concluded for an indefinite period by filling in the form provided. Creating an account requires authentication of a person creating the account via the indicated authentication service, in particular, SingleKey ID and verification whether the person creating the account is a Bosch Customer referred to in §1 (3) above. In order to gain access to the system, the Customer should apply for its assignment to the Order Desk department.

3. After logging in to the Website, the Customer is given an opportunity to purchase the products in accordance with the specification previously prepared for it by Bosch (“Specification”).

4. Within the scope of functions available on the Website, it is possible to modify the Specification or to add products to the order from among the products available in the catalogue on the Website.

5. The Customer adds the products selected by it to the shopping cart and completes the order by selecting the appropriate functions on the Website. The Customer may add to the carts all or selected products indicated in the Specification. The Customer is bound by the prices of products indicated on the Website or in the prepared Specification. In order to apply the prices indicated in the Specification, it is necessary to refer to the number of the prepared Specification in the process of placing the order by the Customer.

6. After placing the order, in accordance with the procedure described above, the Customer receives an email confirmation of receipt of the order, order number and access to the order tracking function via the Website. From the moment indicated in the first sentence, the order is deemed to have been effectively placed.

7. Should any product covered by the order not be available at the time of placing the order, the Customer is informed about it by email or telephone. If the Customer is informed in accordance with the previous sentence, Bosch is not responsible for the unavailability of the products covered by the order and the resulting extension of the delivery time.

8. Bosch is not responsible for any misuse of the functions available in the Customer’s account, e.g. when unauthorised persons use the Customer’s login and password and place an order on behalf of the Customer. Placing an order by an employee or partner of the Customer (regardless of the legal form of their employment) or by a person who previously placed Orders on behalf of the Customer is considered valid. The Customer bears the risk and has an obligation to inform Bosch promptly about any important personnel changes regarding the Customer and with respect to the authorisations granted.

9. Any other issues not governed by these Regulations and related to the execution of orders, deliveries and payment rules are governed by the Trade Agreement.

§3 PROVISION OF SERVICES ELECTRONICALLY

1. Via the Website, services may be provided electronically, in particular: the service of maintaining the Customer’s account, the possibility to place and track orders.

2. Starting to use the services described in the Regulations by the Customer, including the Customer’s consent to be bound by the provisions of the Regulations, equals to concluding an agreement for the provision of services electronically.

3. In order to terminate the agreement for the provision of services electronically, the Customer should stop using the Website and delete the Customer’s account. The Customer’s account may be deleted by submitting a request in the form of an email to the address zamowienia@pl.bosch.com. Deleting the account does not mean the termination of the Trade Agreement.

4. In order to use the Website, the Customer should ensure that its device (computer, phone, tablet) meets the following technical requirements:

 a. Internet access;

 b. web browser allowing to display hypertext (HTML) documents on a computer screen;

 c. active email account.

5. The Customer is prohibited to provide any illegal content.

6. By using the Website, the Customer is exposed to threats typical in the Internet environment, such as infecting the Customer's IT system with malware (malware, Internet worms, cracking, phishing, sniffing, etc.). Bosch does its best to limit access of this type of software to its IT system. However, these protections are not able to completely eliminate the presented risk. Therefore, the Customer should use the market available possibilities to protect its IT systems.

7. Complaints regarding services provided electronically may be submitted by the Customer by contacting Bosch by post, to the address of the registered office specified in §1 (2) of the Regulations or to the following email address: zamowienia@pl.bosch.com. The complaint should contain the Customer’s data and a description and indication of the circumstances being a basis for the complaint. Bosch will respond to the complaint in the form in which it was submitted, to the address from which the complaint arrived, within 14 days of its receipt, as well as will inform about the further procedure.

8. For the avoidance of doubt, the above complaint procedure applies only to complaints regarding services provided electronically and does not apply to complaints regarding deliveries or products. In this regard, the Customer has the right only to claims described in the Trade Agreement.

§4 FINAL PROVISIONS

1. In the remaining scope regarding the commercial relationship of the Parties, the provisions of the Trade Agreement concluded between the Customer and Bosch shall apply. In case of any discrepancies between the Trade Agreement and the Regulations, the Trade Agreement is of decisive importance.

2. The controller of personal data of persons representing the Customer, as well as of persons performing activities related to the execution of the Agreement on behalf of the Customer (e.g. indicated by the Customer as contact persons) during the conclusion and execution of the agreement based on the Regulations, is Bosch – Robert Bosch sp.z o.o. with its registered office at ul. Jutrzenki 105, 02-231 Warsaw.

3. The Customer hereby undertakes to meet, on behalf of the data controller – the Company – the information obligation resulting from Article 14 of the GDPR, by providing the persons referred to in paragraph 2 above with the information provided under the link: https://www.bosch.pl/informacje-daneosobowe-kontrahenci/.

4. Bosch has the right to modify the Regulations, in particular in the case of changes in the functionality of the Website, organisational changes or a need to adapt to the applicable legislation. Modifications in the Regulations and their consolidated text will be made available on the Website, and Customers will be notified of the change by email. The modification in the Regulations becomes effective within the time limit indicated by Bosch, not shorter than 14 days from the date of notifying the Customers of the modification. In the case of non-acceptance of the Regulations, the Customer may terminate the agreement for the provision of services electronically with immediate effect within this time limit. The termination referred to in the previous sentence does not result in and is not equivalent to the termination of the Trade Agreement. The termination of the Trade Agreement may take place only on the terms described therein.

5. Bosch may modify the Regulations without observing the 14-day time limit, referred to above, if: (i) it is subject to a legal or regulatory obligation based on which it is required to modify the Regulations in a manner that makes it impossible to meet that time limit, or (ii) it needs to modify the Regulations so as to counteract an unforeseen and imminent threat related to the protection of Customers against cybersecurity threats or abuse (fraud).

6. The current Regulations are available on the Website and may be downloaded and saved by Customers.

7. Disputes arising from the execution of agreement concluded based on the Regulations will be settled by the common court having jurisdiction over the registered office of Bosch.

8. For all disputes between Bosch and the Customer, Polish law shall apply exclusively.
